Mutual Release of Liability, Assumption of Risk & Financial Disclaimer

Marketplace contracts. Clear risks. Shared responsibility.

By accepting or fulfilling a contract, job, or service through HireLocal USA ("Platform"), both the Service Provider ("Provider") and the Client ("Client") agree to the following terms. Please read carefully before proceeding with any transaction.

Effective Date: Upon acceptance

This is a legally binding agreement. Both the Service Provider and the Client should read it carefully before accepting or fulfilling a contract, job, or service through HireLocal.

01. Independent Parties & Platform Role

HireLocal USA is a neutral marketplace platform that connects Clients and Providers.

HireLocal USA is not an employer, is not a contractor, does not supervise, direct, or control the work, and does not guarantee outcomes, quality, safety, or legality of services.

All services are performed independently by the Provider and accepted voluntarily by the Client.

02. Assumption of Risk (Physical, Property & Accident)

Both Parties acknowledge that services offered through HireLocal USA may involve inherent risks, including but not limited to:

  • Physical injury or bodily harm
  • Property damage
  • Equipment malfunction
  • Environmental hazards
  • Accidents, negligence, or unforeseen events

Each Party knowingly and voluntarily assumes all risks associated with participating in or receiving services through the Platform.

03. Mutual Release of Liability (Accidents & Injuries)

To the fullest extent permitted by law:

The Client releases the Provider, HireLocal USA, and its affiliates from any claims related to injury, illness, death, or property damage arising from the service.

The Provider releases the Client, HireLocal USA, and its affiliates from any claims related to injury, illness, death, or property damage arising from the service.

This release applies even if damages result from ordinary negligence, but does not apply to gross negligence, fraud, or intentional misconduct where prohibited by law.

04. Financial Responsibility & Payment Disclaimer

Both Parties acknowledge and agree:

  • HireLocal USA does not guarantee payment, performance, or satisfaction.
  • All pricing, scope of work, timelines, and deliverables are agreed directly between Client and Provider.
  • Disputes regarding payment, refunds, incomplete work, or dissatisfaction are primarily the responsibility of the Parties involved.
  • HireLocal USA may offer platform-level dispute tools, but does not act as a judge, arbitrator, or guarantor.

05. No Insurance Representation

HireLocal USA does not provide insurance of any kind for:

  • Accidents
  • Injuries
  • Property damage
  • Lost income
  • Professional liability

Providers are solely responsible for maintaining any required licenses, insurance, bonding, or permits.

Clients are responsible for verifying whether a Provider carries insurance if required for the job.

06. Indemnification

Each Party agrees to indemnify, defend, and hold harmless HireLocal USA, its owners, officers, employees, and affiliates from any claims, damages, losses, or expenses arising from:

  • Their actions or omissions
  • Their breach of this agreement
  • Their violation of law or third-party rights

07. Governing Law & Venue

This Agreement shall be governed by the laws of the State in which HireLocal USA is registered, without regard to conflict-of-law principles.

Any disputes shall be resolved in a court of competent jurisdiction within that state.

08. Acknowledgment & Acceptance

By clicking "Accept," "Agree," or proceeding with a contract, both Parties confirm that:

  • They have read and understood this Agreement
  • They voluntarily accept all risks
  • They agree to be legally bound by these terms

HireLocal USA is a marketplace only and is not responsible for accidents, injuries, damages, or payment disputes. By proceeding with a contract, you accept the risks associated with marketplace work and release HireLocal USA from liability.
